Noma Collective LLC — Terms & Conditions

(Including Code of Conduct)

IMPORTANT: BY COMPLETING YOUR BOOKING, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS, INCLUDING THE CODE OF CONDUCT SET FORTH HEREIN. THESE TERMS CONTAIN AN ARBITRATION AGREEMENT, A CLASS ACTION WAIVER, A LIMITATION OF LIABILITY, AND OTHER IMPORTANT PROVISIONS THAT AFFECT YOUR LEGAL RIGHTS.

1. Definitions and Scope

These Terms and Conditions ("Terms"), together with the Code of Conduct incorporated herein at Section 16, govern the relationship between Noma Collective LLC, a Delaware limited liability company ("Noma," "we," "our," or "us"), and the individual making a booking ("Guest," "you," or "your"). References to "you" and "your" include the first named person on the booking and all persons on whose behalf a booking is made or any other person to whom a booking is added or transferred.

Noma Collective markets and delivers digital nomad community experiences at properties around the world ("Editions"). These experiences include community management, event programming, and coordination of shared accommodations. The physical location of your accommodation ("Property") is responsible for delivery of the accommodation itself and associated physical amenities, including but not limited to food and beverage services, Property facilities (e.g., pool, bar, gym), internet, cleaning, safety, and utilities. Noma Collective is not responsible for lost or stolen items, guest safety, or the actions of Property staff.

Noma provides community management services that include, without limitation: curating the guest community, managing shared living arrangements, facilitating communication among guests, organizing community programming and events, enforcing behavioral standards, and administering the complaint and investigation processes described herein. These community management services are provided directly by Noma and are separate from the accommodation services provided by the Property.

These Terms apply to your booking with the Property in relation to your stay and to all community management services provided by Noma. Please read them carefully as they set out our respective rights and obligations. By completing your booking, you acknowledge and agree that these Terms, including the Code of Conduct, constitute a binding agreement between you and Noma.

All bookings are subject to at least a 4% booking charge. The Property may have additional taxes and fees.

4. Internet

We make every effort to ensure that the Property provides a stable internet connection. However, infrequent service interruptions may occur, and we cannot be held accountable for disruptions beyond our control. In instances where there is an outage, we have local SIM cards that will get the Wi-Fi up and running quickly, and we will make every effort to restore internet connection with minimal interruption. It is your duty to inform us in the event of any service interruption; otherwise, we may be unable to assist. Further, you warrant that you will not use the internet for any nefarious or illegal purposes.

5. Onsite Communication: Slack

We use Slack as the primary approach to communication onsite and email in advance of and subsequent to your visit. We encourage you to use Slack to receive all communication. If you are unable to use Slack, you may not have access to event and program information. By proceeding with your booking, you acknowledge that we communicate all event information and program activity this way and you will notify us in advance if there is any reason why you cannot access Slack. Noma is in no way responsible for any onsite communications exchanged outside of Slack and does not adopt any statements made therein as its own.

Slack is a group messaging platform and you acknowledge that you will use it in a reasonable manner that does not offend or disrespect any other user. We reserve the right to remove you from Slack, including alumni channels, in the event of unreasonable behavior, violation of these Terms, or termination of your participation in any Edition.

6. Events

We provide a weekly program of events sourced from our community and the wider local community. These events may be moved, changed, amended, or cancelled. While we will make every effort to deliver our program, by booking you acknowledge that we have no duty to deliver fixed events or events of a specific nature. We actively seek feedback as to event ideas; however, we cannot guarantee that event ideas will be taken into account or that any specific event will occur.

7. Health, Safety & Communicable Illness Policy

Noma Collective will abide by the rules of the country in which the Property is located with respect to public health requirements. By booking, you agree to adhere to these policies, which may include vaccine and/or mask mandates.

In the event you suspect you have been exposed to COVID-19 or any other communicable illness, you must notify the Community Manager immediately and follow local guidelines for quarantine or isolation. You acknowledge that communal living environments inherently carry a risk of exposure to communicable illness and that Noma cannot guarantee a disease-free environment.

If you or another guest in shared accommodations becomes ill or is suspected of having a communicable illness, Noma may, in its sole discretion, take measures it deems reasonably necessary to protect the health of the community, including but not limited to reassigning accommodations, requesting mask use in shared spaces, or requesting that an ill guest self-isolate. Any such measures are taken for the general health and safety of all guests and do not constitute a breach of these Terms or a denial of services.

8. Disabilities, Medical Conditions & Special Requirements

Noma is not a specialist medical or disability travel provider, but we will do our utmost to cater for any special requirements you may have, subject to the limitations set forth herein.

Pre-Booking Disclosure Requirement. If you or any member of your party has any medical condition, disability, or health concern that may affect your stay or your ability to participate in communal living arrangements, you must provide us with full and accurate details before you make your booking so that we can advise you as to the suitability of your chosen arrangements. This includes, without limitation, conditions that may affect your respiratory health, immune system, mobility, mental health, or ability to share accommodations with others. It is your sole responsibility to provide us with complete details regarding any special assistance, accommodation, or considerations you may require.

We may require you to produce a doctor's certificate or other medical documentation certifying that you are fit to participate in your chosen arrangements. While we will use our best efforts, if we are unable to properly accommodate the needs of the person(s) concerned, we will not confirm your booking, or if you did not give us full details at the time of booking, we reserve the right to cancel it and impose applicable cancellation charges when we become aware of these details.

Assumption of Risk. You acknowledge that Noma's Editions involve communal living environments where you will share accommodations, common spaces, and social settings with other guests. You assume all risks associated with communal living, including but not limited to exposure to allergens, environmental triggers, communicable diseases or illnesses, varying air quality, temperature conditions, and interpersonal conflicts. Noma is not a healthcare provider and does not provide medical advice, diagnosis, or treatment. Any general suggestions or information provided by Noma staff regarding health or wellness are not medical advice and should not be relied upon as such.

Noma's Commitment to Non-Discrimination. Noma is committed to fostering an inclusive community and will not discriminate against any guest on the basis of disability or medical condition. However, Noma's obligation to provide reasonable accommodations is subject to the guest's timely and complete pre-booking disclosure as described above, and is limited to measures that do not fundamentally alter the nature of Noma's community experience or impose an undue burden on Noma or other guests.

The Property's Accommodations. As outlined above, Noma partners with each Property who maintains the accommodation itself. As such, Noma cannot guarantee the condition of the accommodation or the accessibility of the accommodation. Accordingly, concerned guests are encouraged to notify Noma as discussed above about any potential disabilities or medical conditions, and to contact the Property directly for more information about accommodations prior to making a booking with Noma.

9. Accuracy of Prices & Descriptions

Noma Collective cannot be held liable for errors or omissions in bookings or pricing, either made by the Property or as a result of system failure of any kind. We reserve the right to amend advertised prices at any time prior to booking. We also reserve the right to correct errors in both advertised and confirmed prices. The prices offered when booking may increase due to demand and seasonality; this may affect the price of your booking if extending. We will act reasonably when resolving such issues.

10. Our Responsibility for Your Booking

With respect to accommodation services, your contract is with the Property and the Property's terms and conditions apply. As a marketing partner for the accommodation, Noma accepts no responsibility for the actual provision of the accommodation arrangements or the physical condition of the Property. Our responsibilities with respect to accommodation are limited to making the booking in accordance with your instructions.

Noma is directly responsible for the community management services described in Section 1, including the application and enforcement of these Terms and the Code of Conduct. Nothing in these Terms shall be construed to limit Noma's authority to manage its community, enforce behavioral standards, investigate complaints, or take action under Sections 13 and 14 of these Terms.

11. Refunds and Dispute Resolution with Location Partners

In the event of a dispute with our location partner (e.g., accommodation provider), we will not be liable for issuing refunds until the dispute has been fully resolved. Refunds will only be processed once we have received the corresponding funds back from the location partner. We will make every reasonable effort to expedite the resolution process, but delays may occur based on the policies of the location partner involved.

12. Visa, Passport and Health Requirements

It is your own responsibility to ensure compliance with immigration, visa, and health requirements of the country where the Property is located. Requirements may change and you are therefore strongly recommended to check the up-to-date information of the Passport Office, appropriate embassy or consulate, or your doctor as applicable, in a reasonable amount of time prior to your departure. No refunds will be provided for a trip effected by immigration or visa requirements.

13. Guest Conduct, Investigation & Complaint Process

13.1 Behavioral Standards

All guests are expected to conduct themselves in an orderly and acceptable manner consistent with the Code of Conduct set forth in Section 16 and not to disrupt the enjoyment of other guests. This expectation applies to all interactions during an Edition, including but not limited to conduct in shared accommodations, common areas, organized events, group excursions, and digital communications through Noma platforms such as Slack.

13.2 Complaint and Reporting Process

Noma encourages all guests to report concerns regarding conduct that may violate these Terms or the Code of Conduct. Reports may be made to any Noma staff member, including Community Managers, the Head of Operations, or the CEO, through any available written communication channel including Slack or email.

Confidentiality and Anonymity. By accepting these Terms, you acknowledge and agree that Noma may receive and act upon reports from other guests on a confidential or anonymous basis. You agree that Noma is under no obligation to disclose the identity of any person who reports a concern, nor is Noma required to disclose the specific content, source, or number of reports received. This confidentiality protection is a material term of these Terms and exists to protect the safety and comfort of all community members and to encourage good-faith reporting without fear of retaliation.

13.3 Investigation Process

Upon receiving a report of conduct that may violate these Terms or the Code of Conduct, Noma may, in its sole discretion, conduct an internal investigation. You acknowledge and agree to the following:

13.4 Interim Measures

During the course of an investigation or at any time Noma deems it necessary to protect the community, Noma may take interim measures including but not limited to reassigning accommodations, reassigning roommates, adjusting event participation, limiting access to certain community spaces or communication channels, or other measures as Noma deems appropriate. Such interim measures do not constitute a determination of wrongdoing, a breach of these Terms, or a denial of services, and shall not give rise to any claim for refund, damages, or other relief.

14. Termination, Suspension & Exclusion

14.1 Termination of Current Booking

If, in our sole opinion, your behavior or that of any member of your party is causing or is likely to cause distress, danger, or unreasonable annoyance to any of our other guests or any third party, or damage to property, or is otherwise in violation of these Terms or the Code of Conduct, we reserve the right to terminate your booking arrangements immediately.

In the event of such termination, our liability to you and/or your party will cease and you and/or your party will be required to leave your accommodation or other service immediately. We will have no further obligations to you and/or your party. No refunds for lost accommodation or any other service will be made and we will not pay any expenses or costs incurred as a result of termination.

14.2 Cancellation of Future Bookings and Exclusion from Community

Noma reserves the right, in its sole discretion, to cancel any current or future booking, refuse any future booking request, and/or permanently exclude you from participation in any Noma Edition or community platform (including Slack alumni channels) based on: (a) a determination that you have violated these Terms or the Code of Conduct during any current or prior Edition; (b) a pattern of behavior that, in Noma's judgment, is inconsistent with Noma's community values of kindness, respect, optimism, adventure, and understanding; or (c) information received from a third-party, including travel or nomad organizations, regarding your prior conduct.

In the event of cancellation of future bookings under this Section, Noma will refund any deposits or payments made for the cancelled bookings, less any applicable fees or charges incurred. Such refund shall constitute Noma's sole and exclusive obligation and your sole and exclusive remedy with respect to such cancellation. The exercise of Noma's rights under this Section does not constitute a breach of contract, and you expressly waive any claim for consequential, incidental, special, or punitive damages, or for mental anguish, arising from Noma's exercise of its rights under this Section.

14.3 Roommate Reassignment

Some of our Editions may have members staying with roommates. Noma may, in its sole discretion, reassign roommates at any time during an Edition for any reason, including but not limited to health and safety concerns, interpersonal conflicts, or requests from either roommate. Such reassignment does not constitute a breach of these Terms, a denial of services, or an act of discrimination, and shall not give rise to any claim for refund, damages, or other relief.

14.4 Indemnification

You agree to indemnify, defend, and hold harmless Noma, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your breach of these Terms or the Code of Conduct; (b) your behavior toward other guests, Noma staff, or third parties during any Edition; (c) any dispute between you and another guest; (d) any misrepresentation or omission in the information you provide to Noma, including but not limited to medical disclosures required under Section 8; or (e) any damage caused to personal or real property as a result of your negligence or willful misconduct.

14.5 Liability for Damages

You and/or your party may also be required to pay for loss and/or damage caused by your actions and we will hold you and each member of your party jointly and severally liable for any damage or losses caused by you or any member of your party. Full payment for any such damage or losses must be paid directly to the Property or other supplier prior to departure. If you fail to make payment, you will be responsible for meeting any claims (including legal costs) subsequently made against us as a result of your actions together with all costs we incur in pursuing any claim against you.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOMA'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, YOUR BOOKING, OR YOUR PARTICIPATION IN ANY EDITION SHALL NOT EXCEED THE TOTAL AMOUNT YOU ACTUALLY PAID TO NOMA FOR THE SPECIFIC EDITION GIVING RISE TO THE CLAIM.

IN NO EVENT SHALL NOMA BE LIABLE FOR ANY CONSEQUENTIAL, INDIRECT, SPECIAL, PUNITIVE OR INCIDENTAL DAMAGES OR LOST PROFITS, WHETHER FORESEEABLE OR UNFORESEEABLE, BASED ON CLAIMS (INCLUDING THOSE OF CLIENT'S CUSTOMERS), ARISING OUT OF BREACH OR FAILURE OF EXPRESS OR IMPLIED WARRANTY, BREACH OF CONTRACT, MISREPRESENTATION, NEGLIGENCE, STRICT LIABILITY IN TORT OR OTHERWISE.

The limitations of liability set forth in this Section shall apply regardless of whether the claim arises under the Code of Conduct, these Terms, or any applicable statute, including but not limited to any consumer protection statute. You acknowledge that this limitation of liability is a material term of these Terms and that Noma's pricing reflects this allocation of risk.

We cannot be held responsible for the actions or behavior of other guests or individuals who have no connection with your booking arrangements or with us. Interpersonal conflicts between guests, while regrettable, are an inherent risk of communal living environments, and you explicitly agree that Noma shall not be liable for the conduct of other guests toward you.

16. Code of Conduct

This Code of Conduct is incorporated into and forms a material part of these Terms. By completing your booking, you acknowledge that you have read, understood, and agree to be bound by this Code of Conduct. Violation of this Code of Conduct constitutes a violation of these Terms and may result in immediate termination of your current booking and/or exclusion from future Editions as set forth in Section 14.

16.1 Community Values

At Noma Collective, we believe in creating a safe, respectful, and supportive community for everyone. Our community is built on diversity, inclusivity, and shared experiences, and we ask all of our members, guests, and partners to uphold these values.

16.2 Inclusivity & Understanding

We welcome people from all backgrounds, cultures, races, genders, sexual orientations, religions, and ideologies. With this diversity comes the responsibility to treat one another with empathy, kindness, and respect. You shall refrain from making comments or jokes about race, gender, sexual orientation, religion, politics, or national stereotypes.

Every interaction within our community should reflect mutual respect. The following conduct is strictly prohibited and will not be tolerated:

Our mission goes beyond travel. We are committed to contributing positively to the local communities that host us. We encourage members to support local businesses, embrace cultural traditions, and act with sustainability and respect toward the environment.

16.6 Accountability

We take all concerns seriously. Anyone found violating this Code of Conduct may be asked to leave our community spaces or programs in accordance with Section 14. Noma Collective is dedicated to addressing issues with care, confidentiality, and fairness, through the processes described in Section 13.

By being part of Noma Collective, you help create an environment where people feel welcome, supported, and inspired. Together, we can ensure our community thrives—not only for us, but for the people and places we connect with along the way.

17. Cancellation Policy

Any cancellation of reservations or portions of reservations MUST be received in writing by email.

Cancellation by Guest. In the event you choose to cancel your booking, you must provide written notice of your cancellation to info@noma-collective.com at least ninety (90) days prior to the first day of the edition. Under these circumstances, you will be entitled to a refund of the amount of any deposit paid, minus a 20% cancellation fee of total trip price (before discounts). Additionally, a US$100 processing fee shall apply to any cancellations. For any cancellations made less than ninety (90) days prior to the first day of the Edition, or in the event you fail to attend the Edition, no refund shall be issued. Accordingly, it is HIGHLY recommended that you purchase "trip cancellation insurance" in order to cover a possible cancellation within 90 days of the start of your booking.

Cancellation by Noma. Noma Collective reserves the right to cancel your booking or reject a booking request based on: (a) a determination that you have violated these Terms or the Code of Conduct; (b) a person's ability to remote work; (c) value misalignment with Noma's strong values of community, kindness, optimism, adventure, and understanding; or (d) information from third-party organizations regarding your prior conduct. In the event of a cancellation by Noma, Noma will refund any deposits paid for future, unperformed Editions, and such refund shall constitute your sole and exclusive remedy. In the event of cancellation during an ongoing Edition, no refund will be provided for the current Edition.

18. Changes by You & Transfer of Booking

If you wish to change any part of your booking arrangements after the confirmation invoice has been issued, you must inform Noma by email as soon as possible.

Whilst we will do our best to assist, we cannot guarantee that we will be able to meet your requested change. Where we can meet a request, all changes will be subject to any applicable rate changes or extra costs incurred. You should be aware that these costs could increase the closer to the departure date that changes are made, and you should contact us as soon as possible. Where we are unable to assist you and you do not wish to proceed with the original booking, we will treat this as a cancellation subject to the cancellation policy above.

Room Sharing Option

For guests selecting the room sharing option available on some of our Editions, you can coordinate with a friend to book separately, with each of you taking one bed in the shared room. If you don't have a personally chosen roommate, Noma will assign a roommate at random from others who selected this same room option. Roommates are assigned randomly, and while we strive to pair guests based on sex (male with male, female with female), there is a possibility of co-ed room assignments. Noma reserves the right to change roommate assignments at any time in its sole discretion, as further described in Section 14.3. If you have any questions or preferences, feel free to discuss them with a Noma team member during your pre-trip call.

19. Governing Law, Arbitration & Dispute Resolution

19.1 Governing Law

These Terms and any agreement to which they apply shall be interpreted in accordance with the laws of the State of Florida, without regard to its conflicts of law principles. Neither the United Nations Convention on the International Sale of Goods nor the Uniform Computer Information Transactions Act shall apply to these Terms.

19.2 Mandatory Pre-Suit Mediation

If a dispute arises from or relates to any bookings made with Noma, and if the dispute cannot be settled through direct discussions, the parties agree, as a condition precedent to any legal action or arbitration, to attend mediation administered by the American Arbitration Association under its Commercial Mediation Procedures.

19.3 Binding Arbitration

The parties further agree that any unresolved controversy or claim arising out of or relating to these Terms, any breach thereof, or any dispute related to any bookings made with Noma shall be settled by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. Judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. Claims shall be heard by a single arbitrator unless the claim amount exceeds $1,000,000.00, in which case the dispute shall be heard by a panel of three arbitrators. The place of arbitration shall be West Palm Beach, Florida, United States. The arbitration shall be governed by the laws of the State of Florida. The award of the arbitrator(s) shall be accompanied by a reasoned opinion. Except as may be required by law, neither a party nor an arbitrator may disclose the existence, content, or results of any arbitration hereunder without the prior written consent of both parties.

19.4 Class Action Waiver

EACH OF US MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT ON A CLASS, REPRESENTATIVE, OR COLLECTIVE BASIS, AND THE PARTIES HEREBY WAIVE ALL RIGHTS TO HAVE ANY DISPUTE BE BROUGHT, HEARD, ADMINISTERED, RESOLVED, OR ARBITRATED ON A CLASS, COLLECTIVE, OR REPRESENTATIVE BASIS. ONLY INDIVIDUAL RELIEF IS AVAILABLE.

19.5 Waiver of Jury Trial

IN THE EVENT THE PARTIES WAIVE ARBITRATION, THE PARTIES HEREBY KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT THAT EITHER OR BOTH OF THEM SHALL HAVE TO RECEIVE A TRIAL BY JURY WITH RESPECT TO ANY CLAIMS, CONTROVERSIES, OR DISPUTES THAT SHALL ARISE OUT OF OR RELATED TO THIS AGREEMENT OR THE SUBJECT MATTER HEREOF.

19.6 Statute of Limitations

Any claim arising out of or relating to these Terms, your booking, or your participation in any Edition must be commenced within one (1) year after the cause of action accrues. Any claim not brought within this time period shall be permanently barred.

19.7 Attorney's Fees

In any action at law or suit in equity related to these Terms or any booking made with Noma, or the rights of any of the Parties hereunder, the prevailing Party in such action or suit shall be entitled to receive its reasonable attorneys' fees and all other reasonable costs and expenses incurred in such action or suit, including fees incurred in proving the amount of fee entitlement.

20. Communication Following Termination

In the event your participation in an Edition is terminated or you are excluded from future Editions under Section 14, you agree to cease all contact with Noma staff through personal channels and to direct all further communications to Noma's designated representative or legal counsel. Noma reserves the right to remove you from all Noma communication platforms, including Slack channels and WhatsApp groups.

You further agree that you will not contact other current or former Noma guests for the purpose of interfering with Noma's business relationships, soliciting statements or testimony adverse to Noma, or otherwise attempting to impede Noma's operations. Nothing in this Section prevents you from communicating with other individuals for personal or social purposes unrelated to any dispute with Noma, or from exercising your rights to consult with legal counsel.

21. Release and Waiver of Claims

You acknowledge that participation in a Noma Edition involves communal living, shared social environments, and interactions with other guests whose behavior is outside Noma's control. To the maximum extent permitted by law, you release and waive any claims against Noma arising from interpersonal conflicts between guests, disagreements regarding shared living arrangements, social exclusion by other guests, or emotional distress arising from the communal living experience. This release does not apply to claims arising directly from Noma's own intentional misconduct.

22. Events Beyond Our Reasonable Control (Force Majeure)

Except where otherwise expressly stated in these Terms, we will not be liable or pay you compensation if our contractual obligations to you are affected by any event which we or the supplier(s) of the service(s) in question could not, even with all due care, foresee or avoid. These events can include, but are not limited to, war, threat of war, civil strife, terrorist activity and its consequences or the threat of such activity, riot, the act of any government or other national or local authority, industrial dispute, lock closure, natural or nuclear disaster, fire, chemical or biological disaster, pandemic, epidemic, public health emergency, and adverse weather, sea, ice, and river conditions, and all similar events outside our or the Property's control.

23. Payment Terms

To confirm your participation in an Edition, a non-refundable deposit of 50% of the total trip cost, as specified in your booking link, is required at the time of reservation. The remaining balance must be paid in full no later than 60 days prior to the Edition start date. Failure to complete payment by this deadline, despite email reminders, will result in the automatic cancellation of your booking, and your spot may be made available for rebooking. No exceptions will be granted.

24. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by any court or arbitrator of competent jurisdiction, such finding shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent to the greatest extent possible.

25. Entire Agreement

These Terms, including the Code of Conduct set forth in Section 16, constitute the entire agreement between you and Noma with respect to your booking and participation in any Edition, and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written, relating to the subject matter hereof. These Terms expressly supersede and terminate any prior agreement. No employee or agent of Noma is authorized to make any additional representations or warranties related to the Terms or services provided hereunder.
